Plain words about the bookmatic service, what you buy, who your payment contract is with, and the rules we both agree to.

## 1. Who we are

bookmatic is a software service operated and provided by **Konsensus LLC** ("Konsensus", "we", "us"). These Terms of Service ("Terms") govern your use of it. Everything on bookmatic is sold to you by **Konsensus LLC**. Card payments are taken by a payment provider we appoint, which is named on the checkout page before you pay; where that provider acts as our reseller and Merchant of Record it takes the payment and carries the tax on it. Section 9 has the detail.

**Konsensus LLC** is a limited liability company organized under the Roatán Common Law Code (§ 3707) in the Próspera ZEDE, Honduras, registry number **86585140624059**, registered office c/o Próspera Employment Solutions LLC, Beta Building, Oficina 6, Próspera ZEDE, St. John's Bay, Islas de la Bahía 34101, Honduras.

**Accepting these Terms.** By creating an account, buying anything, or carrying on using bookmatic, you agree to these Terms. If you do not agree to them, do not use the Service. If you are accepting on behalf of a company, you confirm you are allowed to bind it.

## 2. A few words we use

- **Net Receipts** — the amount received for a sale after deduction of sales tax, VAT or equivalent duties, and payment processing fees.
- **The Service** (or **bookmatic**) — the bookmatic web application and everything we make available in it.
- **You** (or **the author**) — the person or company that opens an account, buys something, or uses the Service.
- **Your work** — everything you upload, write, generate under your direction, or publish here: manuscripts, covers, notes, comments, chat, published pages.
- **A tier** — a one-time purchase that unlocks a set of features for one book. There are two, Digital and Press. Nothing renews.
- **Credits** — prepaid units you spend on the features that cost us money each time they run. Section 10.
- **Payment provider** — the company that takes your card payment, named on the checkout page before you pay and on your receipt. Where it acts as **Merchant of Record**, it is the party that sells to you on record for that payment and handles the sales tax or VAT on that sale. Konsensus provides the Service itself under these Terms either way.

## 3. What bookmatic does

bookmatic takes a manuscript and turns it into a finished book, inside one application. Depending on what you hold, you get:

- Import from the file you already have, a private reading room, a block editor, and invitations for co-editors and reviewers with comments, chat and edit history.
- AI features you start yourself: translation into another language, an editor's to-do list built from your readers' notes, cover art, marketing text, and narration that turns your book into an audiobook using a fixed menu of licensed synthetic voices. Every one of them is listed in section 7 with the outside service it uses.
- Page layout, cover design, the ebook file (EPUB), and a hosted page for your book.
- **Press** adds the files a printer needs: the inside pages as a print-ready PDF, and the full cover — front, spine and back — with a barcode. See section 13 for what the barcode needs from you.

What we tell you about the Service before you buy — on the website, in the app, and in the guide — is part of your contract with us, and we will not change it to your disadvantage without your agreement. Anything the app marks as *beta* or *planned* is not part of what you bought until it is released. We may add, change or retire features; if a change takes away something a purchase of yours delivered, section 18 gives you a way out.

## 4. Your account

You need an account. Keep your details accurate and your password to yourself, and you are responsible for what happens under your account, including what the people you invite do. We store your password only as a hash — we never hold the password itself — plus, if you switch it on, your two-factor secret. Tell us promptly if someone else gets in.

You must be at least **16** to hold an account. Under 18, a parent or guardian has to accept these Terms for you and make any purchase. These Terms cover both consumer and business accounts; where something applies only to consumers, it says so.

## 5. Acceptable use

You agree not to use bookmatic to:

- upload, process or publish anything you do not hold the rights to, or that infringes a copyright, trademark, privacy or other right;
- upload or publish anything unlawful, or anything that helps someone break the law, under the law that applies to you or to us;
- break, overload, probe, reverse-engineer or get around the security, access controls or usage limits of the Service;
- resell the Service, or hand it to other people except through the collaboration features we built for that;
- run scripts or bots to consume paid features or credits beyond ordinary use.

Because parts of bookmatic generate text, pictures and speech with AI, some limits are worth spelling out. You agree not to use any AI feature to:

- make a **deepfake**, a face swap, or sexual or intimate imagery of a real person, consensual or not;
- **imitate a real person's voice, face, name or likeness**, or pass work off as theirs. Do not submit a recording of someone in order to copy how they sound, and do not present any output as the voice of a real person who did not record it;
- impersonate anyone, or misrepresent who wrote something or where it came from;
- produce hateful, harassing or threatening material, or anything inciting violence;
- produce malware, hacking instructions, or means of stealing credentials;
- publish another person's private details without a lawful basis;
- **get around our safety controls** — by jailbreaking a model, disguising a prompt, or any other means of defeating a limit we have set.

**AI output can be wrong.** A translation, a set of editor notes or a cover is generated by a machine and may be inaccurate, incomplete or misleading. It is your work and your name on it: **read it before you publish it.** Do not rely on anything bookmatic generates as **legal, financial, medical, tax or other regulated professional advice** — we do not give any, and nothing the Service produces is a substitute for a qualified professional.

We may suspend or remove content, or suspend or close an account, that we reasonably believe breaks this section, and we run automatic safeguards that slow down or pause activity that looks abusive or broken.

How we moderate published pages, and how anyone reports a page or files a copyright notice, is in our [content & takedown policy](/policy). An author's first public page is read by a person before it opens. A page that breaks the policy can be unlisted or removed.

## 6. Our providers' rules apply to you too

We do not run the payment rails or the AI models ourselves. The companies that do have their own rules about what may be sold and what may be sent to them, and those companies are the reason bookmatic can offer you what it offers. So their rules reach you through us: **you agree not to use bookmatic to do anything our payment providers or our AI providers forbid.**

The ones that matter in practice:

- **Our payment provider** — what may not be sold through it (its acceptable-use rules), and the buyer terms you accept when you pay by card. Both are linked from the checkout page where the provider is named.
- **The AI providers** — what may not be sent to their models: [Anthropic's usage policy](https://www.anthropic.com/legal/aup), [Google's Generative AI Prohibited Use Policy](https://policies.google.com/terms/generative-ai/use-policy), and OpenAI's usage policies.

If one of them tells us that a book or an account breaks their rules, we have to act: we may switch off the feature, unlist the page, or close the account. We will tell you which rule and which company, and section 16 still gives you notice and a chance to fix it where it can be fixed. This works both ways — we will not ask you to break their rules either.

## 7. What leaves our servers, feature by feature

Every AI feature runs only when you press its button. This is the whole list of what goes out when you do, and who receives it.

If you never start an AI feature, your manuscript never leaves our servers. We do not sell your work, we do not give it to advertisers, and we do not use it to train anything. Under their API terms, Anthropic, Google and OpenAI process what we send only to give the result back, and do not use it to train their models. sats4ai is sent one job at a time: it gets the file or the brief for that job and nothing else — no account of yours, no email address, no payment details. ## 8. Your work stays yours

**You own your book.** You keep every right in it. Nothing here moves ownership of your manuscript, your cover or your book to us.

To run the features you press, you give us permission to host, store, copy, process, format, lay out, translate, send and display your work — for the purpose of providing the Service to you and the people you invite, and, for anything you choose to publish, to show your published page to the readers you point at it. That permission exists to run the product and nothing else. It ends when you delete the content or close your account, apart from routine backups and anything the law makes us keep (section 16).

**What you promise us.** That you own or have permission for everything you upload and publish, and that it breaks no law and no one else's rights.

**If someone sues over your book.** If you use bookmatic for your trade, business or profession, you will defend us and our payment providers against third-party claims arising from your book or from your breach of these Terms, and cover the reasonable legal costs. **If you are a consumer, none of that applies to you**: you owe us only for loss we actually suffer and you actually caused. Neither version applies to anything caused by our own breach.

**AI output.** Where a feature uses an AI model under your direction, what comes back becomes part of your book only when you accept it. You stay the author of what you accept, and you are responsible for checking it. AI narration is disclosed to listeners as digital narration.

**bookmatic itself stays ours.** Your book is yours; the software that makes it is not. Konsensus LLC owns the Service and everything in it — the application, its source code, the typesetting engine and templates, the designs, the documentation, the bookmatic name and logo — and nothing here transfers any of that to you. You get a limited, non-exclusive, non-transferable right to use the Service for as long as your access lasts and for what it is meant for. You may not copy, resell or redistribute the Service, reverse-engineer it, or work around its technical limits.

## 9. Prices and how you pay

A tier is a one-time purchase, not a subscription. There is nothing to cancel and nothing renews. It sits on your account and takes one book through the Service; write to us if you want to publish a second one. Credits are bought in packs. Our current list prices are **Digital $199** and **Press $399**, one payment per book; and credit packs at **$9** (100 credits), **$40** (500), **$75** (1,000) and **$199** (2,500). An ISBN from our block is bought with credits, at the credit price shown in the app. Prices shown at checkout are the ones that apply. Translation is a flat 1,000 credits per target language, whatever the length of the book, shown to you before it runs. Every price is shown in the app and again at checkout, in the currency you will be charged, before you pay anything.

- **Card.** Card purchases are processed by the payment provider named on the checkout page. Where that provider acts as our authorized reseller and **Merchant of Record**, your purchase and payment contract for that transaction is with it, and its buyer terms and refund handling apply to the payment; it works out and pays any sales tax or VAT on that sale, and the total shown at its checkout is what you pay. These Terms still govern your use of bookmatic itself in every case.

**Card is the only way to pay on bookmatic.** There is no other payment method offered on this site.

Where our order process is conducted by an online reseller acting as Merchant of Record, that reseller is named on the checkout page and on your receipt, and it handles the payment, the tax and the returns for that order. We answer everything about the Service itself.

Purchased features open once payment is confirmed.

## 10. Credits

Some features cost us money every time they run — a translation, a cover picture, a set of editor notes. Those run on **credits**, which you buy in advance and spend as you use them. New accounts start with some for free.

**Credits work on bookmatic and nowhere else.** They buy anything the platform sells as an extra. They are not money: no cash value, not redeemable for cash, no interest, not transferable to another person or another service, and not a deposit, a gift card or electronic money. Unused credits do not expire while your account is open.

**Credits are non-refundable once spent.** That is our policy and it is deliberate: a credit exists so the work happens the second you ask for it, and the moment you spend one we owe an outside service real money for it. When you buy credits you are asking us to make them available immediately, and you agree that a credit you have spent is not refundable. **Credits you have not spent are refundable for 14 days** — see section 11.

Two things limit that:

- **The payment provider can refund a card payment anyway.** A Merchant of Record applies its own buyer terms, whatever our policy says. If it returns your money, we take back the credits that money bought, to the extent you have not spent them.
- **Some rights cannot be signed away.** If the law where you live gives you a right to cancel a purchase of digital content, that right stands. It ends only when you have asked for the purchase to be delivered immediately and confirmed that you understand you lose the right by doing so — which is exactly what our checkout asks you to confirm. Where a right cannot be waived, it is not waived here.

Credits are spendable as soon as you buy them.

**If a payment is reversed — while it is being looked at.** If a payment for credits is reversed or disputed, Konsensus LLC puts the account on hold: no credits can be spent and no new work starts. Credits from that payment that you have not spent go back to us. You can still log in, read, download and export everything.

**If the reversal stands and some credits were already used.** Spending a credit spends real money: within seconds we pay an outside AI provider for that job, and that cannot be undone. If the reversal stands and some of those credits were already used, the account is in arrears by exactly that number of credits, valued at exactly what you paid for them. We add nothing — no fee, no interest, and we never pass on what the reversal cost us.

**How to clear it.** Buy credits as normal and your purchase covers the arrears first, with the rest landing as credits. If you would rather settle the exact amount instead, write to [hello@konsensus.net](mailto:hello@konsensus.net) and we will send bitcoin or bank details. There is no deadline on buying: that door stays open for good.

**What is always yours.** Whatever happens with a payment, your manuscript, your uploads and every file we have made for you stay available to read, download and export, free, at any time — one click, in your account. Your data-protection rights (a copy of your data, correction, deletion, portability) are always free and are never affected by anything you owe. We never close your account or delete your book over money.

**If nothing is cleared.** Fourteen days after we email you about arrears, the account stops running new paid work until the arrears are cleared. Reading, downloading, exporting and buying all still work, and they always will.

**When you owe nothing.** You are not in arrears if the payment was not authorised by you, if your bank finds in your favour, or if we failed to deliver the work. The hold comes off and nothing is owed. Nothing here asks you to give up your right to dispute a payment with your bank — you always have it.

If a feature fails after we charged you for it, we put the credits back. For the features we *meter*, if the work turns out to have cost less than we quoted we put the difference back, and we never charge more than the estimate you agreed to.

**Translation is a fixed price, not a metered one:** 1,000 credits per target language, whatever the length of the book. You are told that number before it runs, it does not change with the size of your manuscript, and because it is a price rather than an estimate there is no difference to put back afterwards.

## 11. Refunds and cancelling

If you are a consumer in the EU or EEA, you normally have **14 days** to withdraw from a distance contract for a digital service, without giving a reason.

bookmatic starts performing immediately — that is the point of it. By buying and starting to use it (importing a manuscript, running a translation, laying out a PDF, spending a credit) you **expressly ask us to begin during the withdrawal period, and each credit-priced job is a separate job that is fully performed the moment it finishes running — so the right of withdrawal ends for each job as it completes**, so far as the EU Consumer Rights Directive (2011/83/EU, art. 16(a)) and its national versions allow. Jobs that have not run, and credits you have not spent, stay refundable for 14 days. If we have not begun, the 14 days are still yours. Rights that your national law does not let you waive are unaffected.

**Spent credits are non-refundable** (section 10), subject to the two limits set out there. **Unspent credits:** within 14 days of buying them, if you have not spent any credit from that purchase, write to us and we will reverse it in full. This is our own policy, on top of the statutory right above.

**Our own policy, on top of the statutory right:** if you bought a tier and have not yet used a paid feature of it — no translation run, no laid-out PDF, no export, no published page — we refund it in full within **14 days** of purchase, no reason needed. Just ask at [hello@konsensus.net](mailto:hello@konsensus.net).

**How to ask.** Email [hello@konsensus.net](mailto:hello@konsensus.net) with your order number or the address you paid with, before the 14 days are up. Any clear statement works; there is a model withdrawal form in our [refund policy](/refunds) if you prefer one, but it is optional. The 14 days run from the day the contract was made. We refund **within 14 days** of hearing from you, to the card you paid with, at no charge to you. Card refunds are issued through the payment provider that took it. ## 12. Publishing, hosting and takedown

When you publish, we host your book's page for you and keep hosting it. Two honest conditions on that, because "hosted forever" is a promise nobody can keep:

- hosting lasts **for as long as we run the Service**; and
- the book has to keep to our [content & takedown policy](/policy). A page that breaks it can be unlisted or removed, and we tell you what and why.

If we ever have to stop running bookmatic, we will tell you by email at least **30 days** before it happens, and your files stay downloadable for that whole period. Your book is yours: the ebook file and the print files are exports you can take anywhere, at any time, and publishing here has never stopped you selling the same book elsewhere.

## 13. Print files, barcodes and ISBNs

An ISBN is the number that identifies a book in shops and libraries. Here is exactly where you stand with one:

- **Press includes the barcode** — built from an ISBN *you already own*, and printed on the back cover, at no extra cost.
- **No tier includes an ISBN.** Not Digital, not Press. If you do not have one, Press still builds every file; the cover simply carries no barcode.
- **Getting an ISBN registered under your own imprint** — your own publisher name, not ours — is a separate extra you buy with credits. It is yours and it stays yours.

You can also get an ISBN yourself from the agency for your country, free or paid depending on where you live, and give us the number. Either way the barcode is the same.

## 14. When a reader buys your book

**Not switched on.** Reader-facing book sales are not live on bookmatic today: no book page can take a payment, and nothing in this section is in force yet. It is written down now so the terms are settled before the feature opens, and we will say so in the app on the day it does.

**bookmatic sells software to authors.** It is not a shop, a marketplace or a reseller of anyone else's goods, and no third party sells anything through it.

If you switch on reader sales for a book you published here, Konsensus publishes that edition and sells it as its own. The reader pays Konsensus, and Konsensus carries what comes with that — payment processing, sales tax, refunds, chargebacks and the reader's consumer rights. You do not need a payment account, and you do not register for tax in a reader's country.

**Your royalty.** For each settled sale we owe you a royalty, calculated as a percentage of **Net Receipts** (section 2). The current rate is shown on the Sell tab in the app and on your royalty ledger, and it is the rate that applies to every sale settled while it is in force; the remainder is what Konsensus keeps for selling, taxing, delivering and supporting the book. If we change the rate we will say so in the app before it applies, and sales already settled keep the rate they settled at. Your royalty is credited to your ledger in the app the moment the sale settles, and the ledger shows every entry. It is a debt we owe you, not money held on trust, and it earns no interest. You may ask to be paid your balance at any time and we pay it within **30 days** of the request, by a method we agree with you. If a sale is refunded or charged back, the royalty on it is reversed and you can see the reversal. Tax on what you earn is yours to handle.

None of this moves the rights in your book. You may sell the same book anywhere else at the same time, and you may unpublish your page whenever you like — readers who already bought it keep their access.

## 15. What we do not promise

The Service is provided "as is" and "as available". As far as the law allows, we disclaim warranties we have not written down here, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. **We do not guarantee that the Service will be uninterrupted, timely, secure or error-free.** In plain words: we do not promise it will never go down and never have a bug.

bookmatic is a tool and a host. It is not your editor, your translator or your lawyer, and it is never the author of your book. The editorial decisions stay yours. AI output can be wrong; checking it before you accept it is your job, as is clearing the rights to everything you publish.

As far as the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for anything to do with the Service is limited to what you paid us — or paid our payment provider — in the twelve months before whatever went wrong.

**Nothing here limits liability that cannot be limited by law**: death or personal injury caused by negligence, fraud, or a consumer's mandatory rights. If you are a consumer, those rights sit on top of these Terms and are untouched by them.

## 16. Ending it

You can stop using bookmatic whenever you like and delete your content. To close the account, email [hello@konsensus.net](mailto:hello@konsensus.net) from the address it is registered to.

We may suspend or close your access if you seriously break these Terms, use the Service unlawfully, fail to pay, or trip our abuse safeguards. Before we close a *paid* account for anything other than unlawful use or serious abuse, we give you notice, a fair chance to put it right, and time to export your files. When access ends, published pages you created may come down.

**Your data.** When you close your account we delete your books, your profile and your collaboration data within **30 days**, backups included. Records we have to keep for accounting, tax or abuse handling are kept as long as the law requires.

## 17. Which law applies (Governing Law)

These Terms, and any dispute about them or about the Service, are governed by the law of the **Próspera ZEDE, Honduras** — where Konsensus LLC is organized — without regard to conflict-of-laws rules, and the parties submit to the courts there.

**If you are a consumer**, that choice does not take away the protection of the mandatory law of the country you live in, and those protections apply to you in full. You may bring a case against us either in the Próspera ZEDE or in your own country; **we may bring one against you only where you live.** For a card purchase sold by a Merchant of Record, that provider is the party you paid and its own buyer terms govern that payment.

## 18. Changes to these Terms

We change these Terms only for a real reason: the law changed, a payment provider or another supplier changed, security or fraud prevention requires it, or the Service itself changed. You get at least **30 days' notice by email** before a material change takes effect.

The revision line at the foot of this document records when these Terms last changed.

If a change is bad for you — to these Terms, or to something you already paid for — tell us within those 30 days and we will refund the unused part of your purchase, or keep you on the old terms for what you already bought, whichever you prefer. Carrying on using the Service after the notice period is how you accept a change, and it never removes that choice. The revision line at the foot of this page records when these Terms last changed.
